This is to alert you of a scam being perpetrated on Ohio businesses. Businesses have called us about having received letters “appearing” to be from a state agency by the name of
The Ohio Corporate Compliance Business Division. These letters reference legal statutes that do not exist and solicit the recipients to pay an annual fee of $150.00 to process corporate minutes.
This is a scam - please do not respond to any letter from the Ohio Corporate Compliance Business Division. If you receive such a letter soliciting corporate information or processing fees from a different agency, please don’t hesitate to call us to review the letter so we can properly advise you about an appropriate response to the letter. We will do this at no charge for our existing clients.
This same type of letter was being sent to corporations registered in states other than Ohio. The Indiana Secretary of State has issued an “Alert” on its website concerning letters of this type. If you receive a letter from the Corporate Compliance Business Division with regard to an Ohio corporation or a corporation registered in another state, please disregard it.
For our corporate clients, we prepare the necessary annual resolutions of the Shareholders and Board of Directors based upon information you provide to us. These annual resolutions include, but are not limited to, the election of officers and directors, the approval of salaries, bonuses, dividends, s-distributions, and any other transactions that are not in the normal course of business. If your corporate records are not up-to-date, if you would like us to review your corporate records, or if you need other legal assistance with your corporation, please contact our Corporate Paralegal, Teresa Cundiff, or an attorney in our Business Department @ 937.223.1130.
Thank you,
